These Terms of Use (“Terms”) govern your use of softempower.com and any related pages (the “Site”), operated by Softempower LLC (“Softempower,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1.About the Site

The Site provides information about Softempower and its business software products and services, including the ShopTracker manufacturing ERP software, and lets visitors contact us or request a demonstration. The Site is intended for businesses and business professionals located in the United States.

2.Using the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You must be at least 18 years old to submit information through the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

We may change, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee that the Site will be available at all times or free of errors.

3.Information You Submit

When you complete a contact or demo request form, you agree to provide accurate information. By submitting a form, you consent to Softempower contacting you by email or phone about your request and about our products and services. You may ask us to stop contacting you at any time by emailing info@softempower.com.

Please do not send confidential, sensitive, or regulated information (such as payment card numbers, passwords, or health information) through the Site’s forms.

Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms.

4.Demos and Trials

Any product demonstration, demo account, or trial access we provide is for evaluation purposes only, is provided “as is,” and may be changed or ended at any time. Demo environments may contain sample data and may be reset without notice. Do not enter real production data, customer data, or confidential information into a demo environment unless we have agreed otherwise in writing.

5.Product Information and Purchases

Descriptions of features, pricing, plans, and availability on the Site are for general information only and may change without notice. Nothing on the Site is an offer to sell or a binding quotation.

Purchases of, subscriptions to, and use of our software and services (including ShopTracker, data migration, customization, and support) are governed by a separate written agreement, quote, order form, or license between you and Softempower. If there is a conflict between that agreement and these Terms, that agreement controls.

6.Intellectual Property

The Site and its content, including text, graphics, logos, screenshots, videos, and software, are owned by Softempower or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable permission to view and use the Site for your internal business evaluation of our products. You may not copy, modify, distribute, sell, or create derivative works from any part of the Site without our prior written permission.

The Softempower name, the ShopTracker name, and the associated logos and designs are trade names and marks used by Softempower LLC. Other names and marks shown on the Site belong to their respective owners. Nothing in these Terms grants you any right to use any of these names or marks.

7.Prohibited Conduct

You agree not to:

• use the Site in any way that violates any law or regulation;
• attempt to gain unauthorized access to the Site, our systems, demo environments, or other users’ data;
• probe, scan, or test the vulnerability of the Site, or interfere with its operation, including through viruses, malware, or denial-of-service attacks;
• use bots, scrapers, or other automated means to access or collect content from the Site, except for standard search engine indexing;
• submit false, misleading, or spam content through the Site’s forms, or impersonate any person or organization;
• copy, reverse engineer, or use the Site or any demo to build a competing product or service.

8.Feedback

If you send us ideas, suggestions, or other feedback about the Site or our products, you agree that we may use that feedback for any purpose without any obligation or payment to you.

9.Third-Party Links

The Site may contain links to websites or services operated by others. We do not control and are not responsible for their content, policies, or practices. Your use of third-party websites is at your own risk and subject to their terms.

10.Disclaimer of Warranties

The Site and all content, demos, and information on it are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Softempower does not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on the Site is complete, accurate, or current.

11.Limitation of Liability

To the fullest extent permitted by law, Softempower and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. This section does not limit liability that cannot be limited under applicable law, and it does not change any limitation of liability in a separate written agreement between you and Softempower.

12.Indemnification

You agree to defend, indemnify, and hold harmless Softempower and its members, managers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Site.

13.Changes and Termination

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Changes take effect when posted, and your continued use of the Site after that means you accept the updated Terms. We may suspend or end your access to the Site at any time if we believe you have violated these Terms.

14.Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Orange County, California, and you and Softempower consent to the jurisdiction of those courts.

15.General Terms

These Terms, together with our Privacy Policy, are the entire agreement between you and Softempower about the Site. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
